1. Acceptance of Terms
These Terms of Service (hereinafter, the “Agreement”) constitute a binding legal contract between the User (hereinafter, “User,” “You,” or “Your”) and RentMyProfile, Inc., a corporation duly incorporated under the laws of Delaware, United States (hereinafter, “RentMyProfile,” “Company,” “We,” “Us,” or “Our”). By accessing, using, or engaging with our platform (“Platform”) and services (“Services”), You expressly and irrevocably accept and agree to be bound by all terms and conditions set forth herein, without limitation or qualification. Your continued use of the Platform shall constitute conclusive acceptance of this Agreement in its entirety.
2. Description of Services
RentMyProfile acts as a proprietary digital marketplace facilitating the monetization of LinkedIn profiles (“Profiles”) by Users. The Company may, at its sole and unfettered discretion, utilize Profiles for engagement activities including but not limited to content dissemination, analytics, behavioral research, proprietary promotional activities, and other purposes it deems fit.
3. User Representations and Ongoing Compliance
The User hereby represents and warrants that their use of the Platform, and all activities conducted through their Profile, shall at all times comply with the then-current terms, policies, and community guidelines promulgated by LinkedIn or any relevant third-party platform. The User further agrees to exercise all reasonable care and diligence to maintain such compliance throughout the duration of their engagement with RentMyProfile. The Company operates solely as a neutral technology and facilitation platform and does not assume responsibility for verifying or enforcing third-party compliance. Users acknowledge that any actions undertaken via their Profile are ultimately performed at their own direction and risk. In the event of any inquiry or action by LinkedIn or other third parties concerning the User’s Profile, the User agrees to promptly cooperate with RentMyProfile to address such matters and ensure continued adherence to all applicable rules and policies.
4. Exclusivity, Non-Competition, and Restrictive Covenant
User hereby covenants and agrees that, during the term of their engagement with RentMyProfile and for a period of six (6) months following termination or cessation of such engagement for any reason whatsoever, User shall not, directly or indirectly, permit, offer, assign, license, sell, rent, lease, or otherwise make available their LinkedIn Profile to any individual, entity, or platform engaged in the business of profile monetization, lead generation, digital identity leasing, or any business competitive to RentMyProfile. Any violation of this exclusivity provision shall constitute a material breach and, in addition to all other remedies available at law or equity, User shall be liable to RentMyProfile for liquidated damages in an amount not less than USD $50,000 per occurrence or such higher amount as is demonstrably suffered by RentMyProfile, including consequential, special, or exemplary damages, attorney fees, and injunctive relief.
5. License and Usage Rights
By participating in the Platform, User hereby irrevocably grants to RentMyProfile a perpetual, royalty-free, worldwide, transferable, assignable, and sublicensable license to access, control, manage, interact with, operate, and otherwise utilize the User’s Profile in any manner RentMyProfile deems appropriate, including, but not limited to, engagement, promotion, analytical research, distribution, or further proprietary business endeavors, without requirement of notice, approval, or compensation beyond that expressly set forth herein.
6. Proprietary Rights
All rights, title, and interest in and to the Platform, Services, intellectual property, trademarks, trade secrets, business methods, proprietary technology, and all improvements thereto are and shall remain the exclusive property of RentMyProfile. No right or license is granted to User except as expressly set forth in this Agreement.
7. Indemnification
User irrevocably agrees to defend, indemnify, and hold harmless RentMyProfile, its affiliates, subsidiaries, parent companies, officers, directors, employees, agents, licensors, successors, and assigns from and against any and all claims, actions, proceedings, liabilities, damages, losses, penalties, judgments, costs, or expenses (including reasonable attorney’s fees and costs of investigation) arising from or related to: (a) User’s breach of this Agreement; (b) User’s violation of LinkedIn’s or any third-party terms or policies; (c) any third-party claims arising from actions conducted using User’s Profile; or (d) any act or omission by User related to their use of the Platform.
8. Disclaimers and Limitations of Liability
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, RENTMYPROFILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, GOODWILL, DATA, OR PROFITS), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Prohibited Uses (Acceptable Use Policy)
User shall not use the Platform or Services for any unlawful, fraudulent, malicious, or unauthorized purposes. User shall not attempt to interfere with, disrupt, or compromise the integrity or security of the Platform, or otherwise misuse the Platform in any manner inconsistent with this Agreement.
10. Force Majeure
RentMyProfile shall not be liable for any failure or delay in performance under this Agreement (including, without limitation, the provision of Services) due to events or causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, government orders, pandemics, power failures, or third-party service interruptions.
11. Assignment
RentMyProfile may assign this Agreement and any rights or obligations hereunder at its sole discretion, without notice or approval. User may not assign, delegate, or otherwise transfer any rights or obligations under this Agreement without the prior written consent of RentMyProfile, and any purported assignment shall be null and void.
12. Severability
Should any provision of this Agreement be held invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of this Agreement shall remain in full force and effect.
13. Publicity and Disparagement
User shall not, directly or indirectly, make or publish any statement or engage in any act or omission that could reasonably be interpreted as defamatory, disparaging, or otherwise detrimental to the reputation, business, or goodwill of RentMyProfile, its affiliates, directors, officers, or employees, including but not limited to any public statement, online posting, or communication to third parties.
14. Beta/Experimental Feature Disclaimer
From time to time, RentMyProfile may make available beta or experimental features or services. Such features or services are provided “as is,” may be modified or discontinued at any time without notice, and carry no warranties of any kind.
15. Feedback
Any suggestions, recommendations, or feedback provided by User in relation to the Platform or Services may be used by RentMyProfile in perpetuity, without restriction, attribution, or compensation to User.
16. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement or its breach, termination, or validity shall be resolved first through good faith negotiations. If unresolved, such dispute shall be exclusively resolved by binding arbitration conducted in the State of Delaware under the rules of the American Arbitration Association, and judgment upon the award may be entered in any court of competent jurisdiction.
17. Export Controls
User shall comply with all applicable U.S. and international export control laws and regulations. User shall not export, re-export, divert, transfer, or disclose any portion of the Platform or Services in violation of any such laws or regulations.
18. Amendments to Terms
RentMyProfile reserves the right to amend or update this Agreement at any time, at its sole discretion. Updated versions shall be effective upon posting. Continued use of the Platform constitutes acceptance of any modifications.
19. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflicts of law provisions. User hereby consents to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any claims not subject to arbitration.
